Crowd Collabs – Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and Crowd Collabs, LLC (“Crowd Collabs,” “we,” “our,” or “us”), governing your access to and use of our platform, website, services, and related offerings (the “Platform”). These Terms apply to all Users, including customers, artists, and designers. By accessing or using the Platform, including creating an account, clicking “I accept,” registering as an Artist or Designer, submitting or approving content, making purchases, or continuing to access the Platform after updates, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1. Definitions

  • Approved Design(s) – Any submitted Content approved by an Artist for commercial use.
  • Artist – Any User who creates a storefront or receives and approves submitted designs.
  • Customer – Any User who purchases merchandise through the Platform.
  • Content – Any artwork, text, data, images, videos, audio, or other materials submitted to or displayed on the Platform.
  • Designer – Any User who submits designs through the Platform for artist approval.
  • Platform – The website, applications, and services operated by Crowd Collabs.
  • User – Any person or entity that accesses or uses the Platform, including Artists, Designers, and Customers.
  • Verified Designer – A Designer whose work has either (a) been selected and approved by an Artist through the Platform, or (b) been accepted by Crowd Collabs through a formal application and portfolio review.

2. Account Registration & Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By registering, you represent and warrant that you meet these requirements and that all information provided is accurate. You are responsible for maintaining the confidentiality of your login credentials.

3. User Roles and Additional Terms

Use of certain features may require you to register as an Artist or Designer. If you do so, you agree to the applicable Artist Agreement or Designer Agreement, which govern revenue splits, intellectual property rights, licensing terms, and content submission policies. Designers may upload one Design per Artist for consideration. Only Verified Designers may upload additional Designs, engage in ongoing collaborations, or access advanced platform tools and features. Crowd Collabs is not a party to any agreements between Users and does not guarantee or endorse any products or services offered by Users or third parties.

4. License to User Content

You retain ownership of your Content but grant Crowd Collabs an irrevocable, perpetual, worldwide, non-exclusive, royalty-free, fully sublicensable and transferable license to use, host, reproduce, publicly display, distribute, perform, modify, and create derivative works solely for operating, maintaining, enhancing, and promoting the Platform. This includes promotional use on social media, merchandise previews, and design mockups. This license does not grant Crowd Collabs any ownership interest in your Content. Approved Design(s) are subject to additional terms under the Artist or Designer Agreements. You represent that you have the rights to grant this license and that your Content does not violate third-party rights or applicable laws.

5. User Conduct & Prohibited Uses

  • Upload or submit infringing, defamatory, obscene, or unlawful content;
  • Use the Platform to harass, impersonate, or abuse others;
  • Interfere with or disrupt the Platform or servers;
  • Attempt to reverse engineer, scrape, or copy any aspect of the Platform;
  • Circumvent moderation, access controls, or approval systems;
  • Submit content created using generative AI tools without disclosure, confirmed rights, and understanding that AI content may not qualify for copyright.

We reserve the right to remove content or suspend access for violations at any time.

6. DMCA & Copyright Policy

Crowd Collabs respects intellectual property rights. Users deemed repeat infringers may have accounts terminated or content removed.

6.1 Reporting Copyright Infringement

To report alleged infringement, submit a DMCA Notice including:

  • Your signature
  • Identification of the copyrighted work
  • Identification of infringing material
  • Contact information
  • Good faith belief statement
  • Accuracy statement and authority to act

6.2 Counter-Notification Procedure

  • Your signature
  • Identification of removed material
  • Contact info
  • Statement of good faith belief that removal was mistaken
  • Consent to jurisdiction

Crowd Collabs may restore removed material if the original DMCA filer does not act within 10 business days.

6.3 Repeat Infringers

Accounts subject to multiple DMCA Notices may be terminated at our discretion.

6.4 Other Intellectual Property Complaints

Trademark, publicity rights, and other complaints follow similar procedures. Crowd Collabs may remove content or suspend accounts without notice.

7. Payment Terms & Fulfillment; Third-Party Services

Payments are processed via Stripe; merchandise is printed and fulfilled by third-party providers (currently Printful). Use of these services constitutes acceptance of their terms. Crowd Collabs retains a percentage of payments and deducts third-party fees before payouts. Prices include product cost, fulfillment fees, platform fees, and revenue shares.

Refunds & Returns

All merchandise is custom-made. Sales are generally final unless legally required. Defective, damaged, misprinted, or lost items may qualify for a replacement or refund if reported within 30 days of delivery.

Lost or Incorrect Packages

Users are responsible for accurate shipping addresses. Returned or unclaimed items must be requested within 30 days for reshipment; otherwise, they may be disposed of without refund.

8. Termination & Account Suspension

Crowd Collabs may suspend or terminate accounts for violations or harmful conduct. Termination does not relieve obligations incurred prior and does not affect rights, licenses, or ownership already granted. Certain sections survive termination.

9. Limitation of Liability; Indemnification

Crowd Collabs is not liable for indirect, incidental, or consequential damages. Liability is limited to $100 or the amount paid to Crowd Collabs in the preceding 12 months. Users agree to defend and indemnify Crowd Collabs for claims arising from their use of the Platform.

10. Disclaimers

The Platform is provided “as is” and “as available” without warranties. Crowd Collabs disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Dispute Resolution

Disputes arising in the U.S. or Canada must be resolved exclusively in courts in Cook County, Illinois. Claims must be filed within one year of the cause of action. Crowd Collabs may in the future adopt binding arbitration policies.

12. Governing Law

These Terms are governed by Illinois law, without regard to conflict of law principles.

13. Export Compliance & Sanctions

You represent that you are not located in a sanctioned country and agree to comply with export laws.

14. Modifications to These Terms

Crowd Collabs may revise these Terms by posting updates. Material changes may be notified via email or platform notices. Continued use constitutes acceptance.

15. Assignment

We may assign or transfer these Terms to any successor or acquirer. You may not assign without written consent.
